Acceptance of terms
By using the Molas Online platform and submitting quote requests or orders, the customer confirms they have read and agree to these terms. The customer must verify dimensions, tolerances and loads before approving an order; any later change requires written approval from both parties and may incur additional charges.
Use of the tool
Molas Online provides a spring design and quoting tool. The engineering results (spring rate, stresses, loads) are calculated for design purposes and do not replace validation by a responsible engineer.
Quotes and prices
Prices shown are automatically generated estimates and are valid only until the expiration date stated on the quotation. New orders may require a fresh quote. Prices may be adjusted if the material, quantity or manufacturing process need to change. The final price is confirmed by the factory before production.
Payment
Unless otherwise agreed in writing, payment is due according to the terms stated on the order confirmation. Overdue amounts may be subject to charges and interest from the due date.
Production and tolerances
Springs are manufactured within the published standard commercial tolerances. Quantity variations of ±10% are considered normal and billed according to the volume delivered. Testing or inspection beyond standard quality control may incur additional charges. If a material is unavailable, an equivalent substitution may be proposed subject to customer approval.
Delivery and shipping
Molas Online aims to meet the stated shipment dates but is not liable for delays caused by third parties or factors beyond its control. Risk in the goods passes to the customer at the time of shipment. Quantity discrepancies or damage must be reported in writing within 15 days of receipt.
Warranty
Any manufacturing defects must be reported in writing within 15 days of receipt. Molas Online may, at its discretion, repair, replace or refund items proven to be defective. This is the exclusive remedy, and no warranties apply other than those expressly stated.
Cancellations and changes
Cancelling a confirmed order requires written acceptance. Approved cancellations may require reimbursement for materials purchased, dedicated tooling and processing costs already incurred.
Taxes
Unless stated otherwise, prices do not include applicable taxes, duties or levies, which are the customer's responsibility.
Tooling and fixtures
Tools, dies and fixtures developed specifically to produce an order remain the property of Molas Online, even if their cost is partly charged to the customer.
Intellectual property and confidentiality
Designs and drawings created by the customer remain their property, and submitted specifications are used only for quoting and manufacturing. The customer warrants that their specifications do not infringe any third-party patents or rights and is responsible for any resulting claims.
Packaging
Unless requested otherwise, products are packed in bulk to factory standard. Special packaging must be requested in advance and may incur additional charges.
Governing law and disputes
These terms are governed by the laws of the State of Delaware, United States, where Molas Online is organized as a limited liability company (LLC), without regard to its conflict-of-law provisions. The parties will seek to resolve any dispute amicably before submitting to the competent courts of Delaware.
